Terms of Service

Last updated: October 1, 2026

1. Acceptance of Terms

By accessing or using WAVE Platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Service Description

WAVE Platform provides enterprise-grade live streaming infrastructure including:

• Multi-protocol streaming (WebRTC, SRT, RTMP, NDI, OMT, etc.)
• Real-time analytics and monitoring
• Stream recording and transcoding
• API access and SDK integration
• Enterprise support and SLA guarantees

3. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring your content complies with applicable laws
• Not violating intellectual property rights
• Not engaging in prohibited activities (spam, abuse, etc.)

4. Service Level Agreement

For paid plans, we provide an uptime commitment according to the service level in your subscription, as set out in our Service Level Agreement. Service credits may be issued for verified uptime below the applicable target, as detailed in your subscription agreement.

5. Payment Terms

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days notice
• Overdue payments may result in service suspension
• Usage credits, including credits you buy in advance, are governed by Section 5A

5A. Usage Credits

Some WAVE plans and offers include usage credits (“Credits”). This Section applies to every Credit that WAVE Online, LLC sells or grants, in addition to Section 5. There are three kinds:

• Prepaid Credits are Credits you buy, for example by adding funds to your credit balance
• Plan Credits are a monthly usage allowance included with your paid subscription for each plan period. They reset each billing period and are not a stored balance
• Trial and Promotional Credits are Credits WAVE grants at no charge, such as a trial credit

Prepaid Credit availability. WAVE may limit or discontinue the sale of new, standalone Prepaid Credits at any time, for example once usage-based billing after use becomes generally available. This Section continues to govern any Prepaid Credits already issued, including existing and legacy balances, until they are used or expire.

Service credits for missed uptime targets under Section 4 are not Credits under this Section. The Service Level Agreement governs them.

What Credits are. Credits are a prepaid right to use WAVE services (Trial and Promotional Credits are the same right, granted at no charge). They are not legal tender or currency, not a bank deposit, not a gift card, and not a stored-value account. They have no cash value, earn no interest, and do not create or represent any ownership or property interest.

How Credits apply. Credits are denominated in US dollars and apply 1:1 at list price: US$1.00 of Credits pays for US$1.00 of eligible usage, priced at WAVE’s list rate for that usage when it occurs, unless your order says otherwise. Credits apply only to usage fees for WAVE services. They do not apply to taxes or to any charge that your order or WAVE’s published pricing identifies as ineligible. WAVE decides the order in which different kinds of Credits are used. Separately, some plans reduce WAVE’s rate on eligible usage; current plan rates are shown on the pricing page.

WAVE services only. Credits can be used only for WAVE services billed to the WAVE account that holds them, including eligible services offered under WAVE’s product brands. They cannot be exchanged for any other goods or services.

Non-refundable. Purchases of Credits are final. Credits are non-refundable, except where applicable law requires a refund. WAVE has not adopted any refund policy beyond this Section; if WAVE adopts a separate refund policy for Credits in the future, that policy will govern prospectively, but none is promised, implied, or currently in effect.

Not redeemable for cash. Credits cannot be redeemed, withdrawn, or exchanged for cash or any cash equivalent, except where applicable law requires it.

Non-transferable. Credits belong to the account that holds them. They cannot be sold, transferred, assigned, pooled across accounts or platforms, or otherwise moved to another account or organization.

Expiration.

• Prepaid Credits expire 365 days after the date of purchase. Prepaid Credits purchased before October 1, 2026 expire no earlier than October 1, 2027.
• Plan Credits are granted for the period your plan states, such as a month, and expire at the end of that period. Unused Plan Credits do not roll over.
• Trial and Promotional Credits expire, and may be used, only as stated in the trial or offer under which WAVE granted them.
• Expired Credits are forfeited and cannot be reinstated or refunded.

Plan cancellation. If you cancel a paid plan, unused Plan Credits for the plan period in progress remain usable through the end of that paid period. They expire when the period ends and do not roll over or convert to Prepaid Credits.

Termination and errors. If WAVE terminates your account for violation of these terms, any remaining Credits are forfeited, except where applicable law requires otherwise. WAVE may correct Credits issued in error, and may revoke Trial and Promotional Credits obtained through fraud or abuse.

6. Intellectual Property

You retain all rights to your content. You grant us a license to host, stream, and process your content as necessary to provide the service.

7. Content Transmission and Distribution Responsibility

WAVE provides encoding, transcoding, rendering, and delivery tools that you use to create and distribute your own audio and video content. Except where WAVE itself operates a branded consumer offering that transmits video for viewing (for example, a WAVE-operated hosted delivery surface), you are the content provider and the party that transmits your content for viewing, and you are solely responsible for your content and its distribution.

Where you distribute content through your own application, website, domain, or content-delivery network — with WAVE acting only as the encoding/transcoding toolmaker — you are the operator of the branded offering that transmits that content. Accordingly, you are responsible for obtaining and maintaining any licenses, permissions, and rights required for the distribution of your content, including any video-codec or other content-distribution licenses that may apply to the delivery of that content to your end users. Merely decoding or playing back received video is not a licensable act for your end users, and nothing in these terms shifts any such obligation onto them.

Where WAVE is the operator of the branded offering that transmits content for viewing, WAVE bears the corresponding distribution obligations for that surface, and any applicable pass-through cost (such as a metered codec-delivery surcharge) will be presented on your WAVE invoice as a separately identified line item before it applies.

7A. Zoom and Third-Party Meeting Integrations

If you connect WAVE to Zoom, your use of the integration is additionally subject to Zoom's Terms of Service and API License and Terms of Use. You are responsible for obtaining any consents required from meeting participants before capturing, streaming, recording, transcribing, or otherwise processing meeting media and data (including audio, video, transcripts, chat, and shared-screen content) through WAVE, and for using the integration in compliance with applicable law and Zoom's policies. WAVE receives Zoom meeting data only for the features you enable. WAVE's handling of Zoom meeting data is described in our Privacy Policy.

8. Termination

We may suspend or terminate your account for violation of these terms. You may cancel your account at any time through your dashboard settings.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• WAVE Platform and its services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• We do not warrant that the service will be uninterrupted, error-free, or secure
• In no event shall WAVE Online, LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses
• Our total liability for any claims arising under these terms shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100)

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless WAVE Online, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service, your content, or your violation of these terms.

11. Dispute Resolution

Any dispute arising from these terms shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first to seek informal resolution
• Binding Arbitration: Disputes not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules
• Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action
• Small Claims Exception: Either party may bring qualifying claims in small claims court

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction and venue therein.

13. Modifications to Terms

We reserve the right to modify these terms at any time. We will provide at least 30 days' notice of material changes by posting the updated terms on our website and, where practicable, notifying you by email. Your continued use of the service after such modifications constitutes acceptance of the updated terms. If you do not agree to the modified terms, you must discontinue use of the service.

14. Force Majeure

WAVE Platform shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15. Severability

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect and enforceable.

16. Entire Agreement

These terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and WAVE Online, LLC concerning the service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
